2.06 Member-Elected Director. The Board of Directors may designate or add (at the Boards discretion) one (1) director seat that shall be filled by vote of the Members. The Board of Directors shall determine the manner in which nominations, development of the candidate slate, and Member voting shall be conducted.2.07 Member Voting and Manner of Acting. The Board of Directors may designate from time to time which categories of Members have voting rights. Subject to any such designation of the Board, each Member shall be entitled to one (1) vote on all matters submitted to the Membership. The outcome or winner of a Member vote will be the action or candidate voted upon that receives the most affirmative votes; no minimum amount of participation or quorum shall be required.Notice of a Member vote shall be given to each Member, and may be delivered personally or sent by mail, facsimile, email, or other electronic means and shall be deemed delivered upon delivery in-person or, in all other cases, upon transmission. Notice shall be given to Members at least ten (10) days prior to a vote and it shall specify the purpose of the vote. To ensure that notice is provided to all Members entitled to vote, all such Members shall be accounted for and listed one (1) business day prior to the delivery of notice, and such list shall be dated and saved in the Corporations records.A vote on any matter submitted to the Membership may be conducted at a meeting, by mail, facsimile transmission, electronic message, or any combination thereof. The Board of Directors shall determine the manner in which Member voting shall occur and set forth specific procedures related thereto.WHEREAS, Section 2.07 of the Corporations Bylaws vests in the Board of Directors the authority to designate the categories of the Corporations members that have voting rights; now, therefore, be itRESOLVED, that the Corporations Provider Members shall be the onlycategory of members with voting rights.

Financial Statement Notes

Part X : FIN48 Footnote

The Organization is exempt from federal income taxes under Section 501(c)(6) of the Internal Revenue Code. However, income generated from activities unrelated to the Organizations exempt purposes is subject to tax under IRC Section 511. The Organization did not have a material unrelated business income tax liability for the year ended December 31, 2024.GAAP requires the evaluation of tax positions taken in the course of preparing the Organizations tax returns and recognition of a tax liability (or asset) if the Organization has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. Management has analyzed the tax positions taken by the Organization and has concluded that as December 31, 2024, there are no uncertain tax positions taken or expected to be taken thatwould require recognition of a liability (or asset) or disclosure in the financial statement.

However, income generated from activities unrelated to the Organizations exempt purposes is subject to tax under IRC Section 511. The Organization did not have a material unrelated business income tax liability for the year ended December 31, 2024.GAAP requires the evaluation of tax positions taken in the course of preparing the Organizations tax returns and recognition of a tax liability (or asset) if the Organization has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. Management has analyzed the tax positions taken by the Organization and has concluded that as December 31, 2024, there are no uncertain tax positions taken or expected to be taken thatwould require recognition of a liability (or asset) or disclosure in the financial statement.

The Board of Directors may designate or add (at the Boards discretion) one (1) director seat that shall be filled by vote of the Members. The Board of Directors shall determine the manner in which nominations, development of the candidate slate, and Member voting shall be conducted.2.07 Member Voting and Manner of Acting. The Board of Directors may designate from time to time which categories of Members have voting rights. Subject to any such designation of the Board, each Member shall be entitled to one (1) vote on all matters submitted to the Membership. The outcome or winner of a Member vote will be the action or candidate voted upon that receives the most affirmative votes; no minimum amount of participation or quorum shall be required.Notice of a Member vote shall be given to each Member, and may be delivered personally or sent by mail, facsimile, email, or other electronic means and shall be deemed delivered upon delivery in-person or, in all other cases, upon transmission. Notice shall be given to Members at least ten (10) days prior to a vote and it shall specify the purpose of the vote. To ensure that notice is provided to all Members entitled to vote, all such Members shall be accounted for and listed one (1) business day prior to the delivery of notice, and such list shall be dated and saved in the Corporations records.A vote on any matter submitted to the Membership may be conducted at a meeting, by mail, facsimile transmission, electronic message, or any combination thereof. The Board of Directors shall determine the manner in which Member voting shall occur and set forth specific procedures related thereto.WHEREAS, Section 2.07 of the Corporations Bylaws vests in the Board of Directors the authority to designate the categories of the Corporations members that have voting rights; now, therefore, be itRESOLVED, that the Corporations Provider Members shall be the onlycategory of members with voting rights.
