“Retailer Wholesaler On-Premise and Producer members in good standing have the right to vote on the election of the Board of Directors approval of amendments to the organizations Bylaws that may be proposed to increase or decrease the number of Directors to amend members voting rights to reclassify cancel or add a class of membership and on such other issues as the Board may choose to bring before the members. Other classes of members may attend meetings but may not vote. Voting on all other matters is expressly reserved for the Board of Directors.”

“The officers of the organization review the annual Form 990 internally before it is signed and submitted to the IRS. Copies of the filings are then provided to the governing board. The Form 990 is made available to all others upon request.”

“In the event any director has a conflict of interest that might properly limit directors fair and impartial participation in Board deliberations or decisions such director must fully inform the Board as to the material facts and circumstances of such conflict and the directors interest. Conflict of interest includes but is not limited to any transaction by or with the organization in which a director has a direct or indirect personal interest or any transaction in which a director is unable to exercise impartial judgment or otherwise act in the best interests of the organization.”
