“A copy of the conflict of interest policy is provided annually to all incumbent and incoming directors and officers of the corporation. Each director and officer annually signs a statement or affirms at a meeting of the board of directors that he or she has received a copy of this policy; has read and understands the policy; and has agreed to comply with this policy. All material facts concerning any situation that might be viewed as a conflict are disclosed to the board of directors by the director or officer concerned. Where doubt exists regarding whether a conflict exists or appears to exist, the matter is resolved by the board of directors. No director or officer may be present for a vote by the board of directors on any decision or action by the corporation which would directly or indirectly benefit such director or officer. That director or officer may, however, answer questions or respond to requests, at a meeting or otherwise, for factual information needed for the board to make an informed decision. The board of directors will not approve any transaction to which the corporation would be a party and in which a director or officer of the corporation has a material financial interest unless and until the board of directors has specifically and in good conducted a reasonable investigation that: a. The board is aware of all material facts concerning the transaction and the director or officer's interest in the transaction; b. The corporation is entering into the transaction for its own benefit; c. The transaction is fair and reasonable as to the corporation; and d. The corporation could not have obtained a more advantageous arrangement with reasonable effort under the circumstances.”

“The annual process for determining compensation of the ceo is as follows: the compensation committee (which shall consist only of independent members of the board of directors) of the mighty earth board of directors shall annually evaluate the ceo on his/her performance and ask for his/her input on matters of performance and compensation and then proceed with the board approval process outlined below. Board approval: the compensation committee of the mighty earth board of directors will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the ceo, highly compensated employees, key employees, officers, directors, and trustees based on a review of comparability data. For example, the compensation committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following: 1. Information obtained from the irs form 990 filings of similar organizations; 2. Salary and benefit compensation studies by independent sources; 3. Written job offers for positions at similar organizations; and/or 4. Documented telephone calls about similar positions at both nonprofit and for-profit organizations. Concurrent documentation: to approve the compensation for the ceo, highly compensated employees, key employees, officers, directors, and trustees, the compensation committee must document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. The most recent compensation review took place in december 2024. Documentation will include: a) a description of the compensation and benefits and the date it was approved; b) the members of the board who were present during the discussion about compensation and benefits, and the results of the vote; c) a description of the comparability data relied upon and how the data was obtained; and d) any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits.”
