Governance Explanations

Form 990, Part VI, Section A, Line 7A

A majority of the directors of the organization are appointed by the lovett school.

Form 990, Part VI, Section A, Line 8B

All board meetings are documented. Two finance committee meetings where the audit and 990 are approved to be advanced to the full board are documented. Other committee meetings are not documented as official decisions are not delegated to subcommittees other than the finance committee.

Form 990, Part VI, Section B, Line 11B

The 990 is first reviewed by the finance committee, returned for corrections, and then advanced to the full board for acceptance. From there, the board votes to approve the 990 filing based on the finance committee's recommendation.

Form 990, Part VI, Section B, Line 12C

If a board member indicates a conflict of interest, the officers are made aware and discuss potential decisions from which the member should recuse themselves.

Form 990, Part VI, Section B, Line 15A

There are two executive search search professionals on the board of directors who conduct market research to determine the market rate for nonprofit ceo compensation. Once the board evaluates the ceo's performance, the board determines a salary increase that is either merited, based on the cost of living or market. Program and fundraising director salaries are determined through wage study and performance evaluations. The ceo budgets wage increases and awards them as the organization has the ability to afford them. Yes, the organization has a documented compensation philosophy and conducts periodic wage studies.

Form 990, Part VI, Section C, Line 18

Audited financial statements and 990s are available on breakthrough's website, and are available to donors upon request.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are made available upon request.

Financial Statement Notes

PART V, LINE 4:

The organization's endowment assets consist of approximately seven individual endowment funds established for educational purposes. The percent reported for permanent endowments includes amounts that must be maintained in perpetuity as well as accumulated earnings on such amounts that have not yet been appropriated for expenditure.

PART X, LINE 2:

The organization is exempt from federal and state income taxation under section 501(c)(3) of the internal revenue code ("irc"). However, income unrelated to its exemption function, if any, is subject to income taxation. Management believes the organization continues to satisfy the requirements of a tax-exempt organization and is not subject to tax. No provision for income taxes has been reflected in the accompanying financial statements. The organization follows financial accounting standards board ("fasb") guidance on accounting for uncertainty in income taxes. The organization's policy is to record a liability for any tax position taken that is beneficial to the organization, including any related interest and penalties, when it is more likely than not the position taken by management with respect to a transaction or class of transactions will be overturned by a taxing authority upon examination.

PART XI, LINE 4B - OTHER ADJUSTMENTS:

Fundraising expenses -125,626.

PART XII, LINE 2D - OTHER ADJUSTMENTS:
