Governance Explanations

Form 990, Part VI, Section A, Line 8B

The organization does not have any committees that act on behalf of the governing board.

Form 990, Part VI, Section B, Line 11B

The form 990 is first reviewed by the executive director and accounting staff, who will then submit it to the board of directors for their review and approval.

Form 990, Part VI, Section B, Line 12C

When a director, officer, committee member or staff member becomes aware of a potential conflict of interest, wthey must inform the board and provide all facts related to the potential conflict. The interested person with the potential conflict must retire from the meeting and not participate in final discussion and voting on the existence of the conflict. If a conflict is found to exist, the interested person may be invited to provide any relevant information that could be of use to the board in making its decision. The board or committee's decision shall be based on consideration of whether the transaction: is in the organization's best interest and for its own benefit. Is fair and reasonable to the organization; and is the most advantageous transaction or arrangement the organization can obtain with reasonable efforts under the circumstances.

Form 990, Part VI, Section B, Line 15

The governing board determines the compensation of the executive director. Compensation for employees is requested by the supervisor and approved by the excecutive director. The organization has standardized positions to ensure equity and will rely on appropriate comparative data, including comparable agreements in similar organizations; compensation levels for similar positions in both exempt and taxable organizations; and regional economic data.

Form 990, Part VI, Section C, Line 18

The organization makes its form 1023 available to the public upon request.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.

Form 990, Part VIII, Line 1F

In the current year, abic received a grant of $2,283,000 related to a fiscal sponsorship arrangement. This arrangement was established in 2013 and concluded in 2024.
