Lca's written conflict of interest policy complies with the requirement of nh rsa 7:19-a each board member, prior to taking a position on the board, submits a written list of businesses or other organizations in which the board member is an officer, director, owner, member, shareholder, employee or agent, with which the school has or right expect to enter into a relationship or transaction in which the board member would have conflicting interests. This information is updated annually. At such time as any matter comes before the board in such a way as to give rise for consideration of a pecuniary benefit transaction involving a board member, the affected board member makes the potential conflict known, and after answering any questions that might be asked, withdraws from the meeting for as long as the matter is under discussion. Should the matter be brought to a vote, neither the affected board member, nor any board member who has had a pecuniary benefit transaction in the same fiscal year is permitted to vote on it. A vote establishing that the transaction is in the best interest of the school by 2/3rds of the board is required in order to enter into the transaction. A list of all such transactions is provided to the director of charitable trusts of the state of new hampshire with the annual filing made by the corporation. In the event of a transaction of 5,000 or more, publication of notice and individual notice to the director of charitable trusts must be made prior to consummation of the transaction, as required by statute.
