Governance Explanations

Form 990, Part VI, Section A, Line 3

Cpha contracts with david gardiner and associates to assist with the conduct of its operations, communications, financial management, meeting planning, and other administrative and substantive activities. The contract outlines the following responsibilities: the consultant is responsible for the day-to-day operation of the chp alliance. The consultant shall have discretion to take actions and make expenditures from chp alliance funds as required to carry out the purposes of this agreement and achieve the objectives of the chp alliance; however, any discretionary expenditure in excess of one percent of the chp alliance's then-effective core budget shall be approved by the board of directors. The consultant will: 1) manage the day-to-day operation of the organization. This includes administering the chp alliance's accounts and finances, sending invoices, and receiving payments. 2) organize and manage the annual membership meeting and periodic board of directors meetings, and develop materials for such meetings. 3) communicate regularly with the board of directors, as well as the president and treasurer individually as needed. 4) oversee the development of an annual budget, including baseline and "stretch" figures for revenues and expenses. Coordinate with the treasurer and compensation committee as needed. 5) onboard new members. 6) seek new sources of revenue to assure the baseline and expand toward the stretch budget for each year. 7) maintain fiscal control to manage annual expense budget. 8) assure proper accounting and oversight of chp alliance funds managed by the consultant. 9) assure the consultant's ethical behavior in all chp alliance endeavors.

Chpa have a compensation committe that provides independent review of all contratcs. In article 3.5(b), the bylaws established a compensation committee that is chaired by the treasurer and includes two other directors that are selected by the treasurer who are not themselves contracted to perform services for the chp alliance. In addition, the bylaws provide that a director shall recuse himself or herself from any vote concerning that directors own compensation in article 4.9. The individuals on the compensation committee have years of professional experience to make them familiar with compensation for officers and consultants in similarly situation organizations. All compensation will be paid as provided by written contracts. Pursuant to article 4.9 of the bylaws, the compensation committee can review, with the option to disapprove, any contracts or contract amendments between the chp alliance and the executive director, management firm, and any consultant offering professional services to the chp alliance.

THE CONSULTANT SHALL HAVE DISCRETION TO TAKE ACTIONS AND MAKE EXPENDITURES FROM CHP ALLIANCE FUNDS AS REQUIRED TO CARRY OUT THE PURPOSES OF THIS AGREEMENT AND ACHIEVE THE OBJECTIVES OF THE CHP ALLIANCE; HOWEVER, ANY DISCRETIONARY EXPENDITURE IN EXCESS OF ONE PERCENT OF THE CHP ALLIANCE'S THEN-EFFECTIVE CORE BUDGET SHALL BE APPROVED BY THE BOARD OF DIRECTORS. THE CONSULTANT WILL: 1) MANAGE THE DAY-TO-DAY OPERATION OF THE ORGANIZATION. THIS INCLUDES ADMINISTERING THE CHP ALLIANCE'S ACCOUNTS AND FINANCES, SENDING INVOICES, AND RECEIVING PAYMENTS. 2) ORGANIZE AND MANAGE THE ANNUAL MEMBERSHIP MEETING AND PERIODIC BOARD OF DIRECTORS MEETINGS, AND DEVELOP MATERIALS FOR SUCH MEETINGS. 3) COMMUNICATE REGULARLY WITH THE BOARD OF DIRECTORS, AS WELL AS THE PRESIDENT AND TREASURER INDIVIDUALLY AS NEEDED. 4) OVERSEE THE DEVELOPMENT OF AN ANNUAL BUDGET, INCLUDING BASELINE AND "STRETCH" FIGURES FOR REVENUES AND EXPENSES. COORDINATE WITH THE TREASURER AND COMPENSATION COMMITTEE AS NEEDED. 5) ONBOARD NEW MEMBERS. 6) SEEK NEW SOURCES OF REVENUE TO ASSURE THE BASELINE AND EXPAND TOWARD THE STRETCH BUDGET FOR EACH YEAR. 7) MAINTAIN FISCAL CONTROL TO MANAGE ANNUAL EXPENSE BUDGET. 8) ASSURE PROPER ACCOUNTING AND OVERSIGHT OF CHP ALLIANCE FUNDS MANAGED BY THE CONSULTANT. 9) ASSURE THE CONSULTANT'S ETHICAL BEHAVIOR IN ALL CHP ALLIANCE ENDEAVORS.
