Form 990, Part VI, Line 12C Conflict of interest policy

Compliance with the conflict of interest policy is monitored annually through reviews conducted by the board or a designated committee, as well as the completion of a disclosure statement affirming that the responsible party has received a copy of the conflict of interest policy, has read and understood the policy, and has agreed to comply with the policy; and, for certain individuals, discloses the person's financial interests and family relationships that could give rise to conflicts of interest. Conflicts of interest are disclosed and addressed following the procedures in the policy, and meetings where conflicts are discussed are recorded in the minutes. If a potential conflict arises during the year, the board or committee assesses the conflict and determines the appropriate course of action, including requiring the director or officer to recuse themselves from relevant discussions and decisions.

The National Action Network (NAN) Sacramento Chapter has a Compensation Committee tasked with reviewing and approving the compensation of key personnel, including the Executive Director and Chief Financial Officer, as applicable. The board oversees this in accordance with Section 4, Paragraph 17 of the Bylaws. The Compensation Committee uses a variety of data points, including salary surveys, compensation studies from comparable nonprofit organizations, and the organization's financial performance. External benchmarks are used to ensure that compensation is fair and reasonable in comparison to similar roles within the sector. Compensation reviews are conducted annually during the organization's scheduled board meetings and retreats or whenever significant changes in responsibilities or organizational finances occur. The committee ensures that compensation remains aligned with the organization's financial standing and legal requirements. All compensation discussions and decisions are recorded in the official minutes of the board meetings.

Since achieving independence, the Organization has steadily built its governance, infrastructure, and fundraising capacity to support its mission. The Organization's initial funding came in the form of a multi-year grant from a private foundation. While this early support was essential to launching the Organization's core programs, NAN Sacramento has made strategic efforts to diversify its funding sources. Notably, during the tax year, the Organization successfully hosted an annual gala to engage a broader base of community supporters and potential donors. These efforts reflect a commitment to establishing long-term sustainability through a more varied and representative funding stream. The Organization normally receives a substantial part of its support from the general public, including contributions from individuals, charitable foundations, and government entities. For the years ended December 31, 2023, and 2022, NAN Sacramento's public support percentages were 30.03% and 26.02%, respectively. Although these percentages fall below the 33% threshold, the Organization qualifies as publicly supported under the 10% facts and circumstances test. The public support percentages were also negatively impacted by the inclusion of six years of financial data (due to a fiscal year-end change effective June 30, 2022) despite the Organization having only been in existence for five full calendar years. NAN Sacramento's operations and mission clearly demonstrate its commitment to serving the general public. Key activities include: - Educational justice programming that promotes equitable access to learning opportunities; - Nonpartisan voter education and registration efforts to strengthen civic engagement; - Community empowerment events, including annual MLK Day celebrations and town halls; - Advocacy training and community engagement campaigns to equip residents with tools for civic action. The Organization also maintains a strong online presence through its website (www.nansacramento.org) and active engagement in local coalitions, ensuring that its work is community-informed and responsive to public needs. NAN Sacramento is governed by a representative Board of Directors composed of professionals with deep ties to the community and expertise in civil rights, education, nonprofit leadership, and advocacy. The Board includes leaders such as Dr. Tecoy Porter (President), along with educators and grassroots organizers, all of whom reflect the diversity and values of the community the Organization serves. Taken together, NAN Sacramento's representative governance, diverse programming, and active pursuit of public support demonstrate that the Organization meets the requirements of the facts and circumstances test for public charity status.
