Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is made up of the officers and committee chairs of the mih board. All of the committee members are members of the governing body. The scope of the executive committee authority includes the following: recommends changes to board structures and processes and evaluates and sets compensation level for the executive director.

Form 990, Part VI, Section B, Line 11B

The form 990 will be shared in advance of the board meeting and then reviewed during the board meeting as reflected in the minutes. The form 990 will be filed after approval by the entire board.

Form 990, Part VI, Section B, Line 12C

Once a year, typically at the annual meeting which is the first board meeting of the fiscal year, board members will review, fill out and sign a conflict of interest form, which states their compliance with the established conflict of interest board policy. It is the responsibility of governance committee chair to make sure that this occurs. Records of this review are included in the board minutes. The conflict of interest forms are reviewed by the chair of the governance committee. If a conflict of interest is identified, this is reviewed by governance committee who will make decisions about what action, if any, needs to be taken. If the conflict involves someone who serves on the governance committee, that person will abstain from participation in the meeting. It is the responsibility of the executive director to monitor these actions to ensure that there is compliance.

Form 990, Part VI, Section B, Line 15A

The executive director presents an operating budget to the board of directors each year which includes salaries of all employees and this is reviewed and approved by the board of directors. Compensation levels are determined by a review of comparable positions in the field and in the region and this information is shared with the board as part of the budget review process. The board of directors determines the salary of the executive director. The process described here was last completed in 2025.
