Governance Explanations

Form 990, Part VI, Section A, Line 7A

Inner city christian federation, a michigan nonprofit corporation (iccf), shall appoint four directors to the board. Those directors shall, in turn, elect by majority vote two directors to the board.

Form 990, Part VI, Section A, Line 7B

The board of directors shall manage the corporation's business and may exercise all the corporation's powers, subject to the requirements of the articles of incorporation and the michigan nonprofit corporation act. Notwithstanding the foregoing, iccf must approve in advance each of the following actions of the board: (a) amendment of the articles of incorporation or bylaws of the corporation; (b) removal of the chairperson of the board; (c) the creation of any entity controlled, directly or indirectly, by the corporation, including, without limitation, through membership interest (a subsidiary); (d) all capital expenditures by the corporation or a subsidiary in excess of $50,000 during any 12-month period, and all loans by the corporation or a subsidiary to a third party; (e) all borrowings or guarantees of indebtedness in excess of $50,000 by the corporation or a subsidiary; (f) any merger or consolidation of the corporation or a subsidiary, or any other change in the ownership, control, or capital structure of the corporation or a subsidiary; (g) the sale or transfer of more than ten percent (10%) of the assets of the corporation or a subsidiary to any person or entity not controlled by the corporation; and (h) dissolution of the corporation or a subsidiary.

The vp of finance and the controller review a copy of the form 990 for accuracy prior to filing. A copy of the form 990 is also provided to the president & treasurer of the community homes land trust for review.

Prior to approval by the board, all new directors must review the conflict of interest policy and disclose any potential conflicts to the executive committee and the board president. Any director with a conflict is required to abstain from voting on the matter.
