Governance Explanations

Form 990, Part VI, Section A, Line 6

Any person, coporation, limited liability company, or other entity, other than a public utility, which sells energy products and services to the general public, or which sells energy related products and services to such person, corporations, limited liability companies or other entities, may be eligible to join the association as a member of one tier of membership only, with each tier of membership having its own dues structure as may be designated by the board of directors of the association. The following are the tiers of membership (i. Full, ii. Wholesale, iii. Terminal, iv. Transporter, v. Hvac-plumbing, & vi. Associate membership.) in the association, with tier i being the highest tier vi being the lowest.

Form 990, Part VI, Section A, Line 7A

The nominating committee shall nominate candidates for office and members of the board to succeed those whose terms expire on june 30th, and shall also nominate candidates to fill vacancies on the board of directors occasioned by death, removal or resignation of any director whose term is unexpired. The nominating committe shall subject to board approval, deliver a list of candidates to the chief executive officer at least thirty (30) prior to the annual membership meeting, and said list shall be sent to all members entitled to vote together with regular notice of said meeting. All other candidates may be nominated by a written instrument signed by at least ten (10) voting members of the association and delivered to the chief executive officer at least ten (10) days before the meeting. The chief executive officer shall cause a list of all such nominated candidates to be sent to each voting member of the association at least five (5) days prior to meeting.
