“Each of the directors, principal officers and committee members will submit to the chair of the board prior to taking such position and annually thereafter a list of all businesses or other organizations of which he or she is an officer, director, trustee, member, owner, shareholder, employee, or agent, or in which he or she otherwise has an ownership, investment or other financial interest, and with which the corporation has or in the future might reasonably enter into a relationship or transaction in which the interested person would have conflicting interest. When any matter comes before the board or a committee that may give rise to a conflict of interest, the interested person will make known to the board or committee the potential conflict, whether or not previously disclosed to the chair, and provide the board or committee with all material facts. The interested person may not participate in, vote on or be physically present during the discussion and voting, except that s/he may answer questions from the board about the proposed transaction/arrangement, after which s/he must leave the room;in transactions involving more than 500, the transaction must be approved by an affirmative vote of at least two- thirds (2/3) of all the directors who are not interested persons, provided the quorum requirement under the corporation's bylaws is met.”
