“The organization obtains management, operational, academic, and other services from arizona state university, the management company and related organization. This includes the use of asu facilities for academy activities, access to technology infrastructure, and the participation of asu faculty and staff in implementing various innovations including teaching methods, teacher preparation, and curriculum and educational research. The organization uses certain asu service marks and trademarks when performing academy activities, and provides asu facilities as well as equipment for academy activities.”
“One director is appointed by the herberger trust. Asu, a governmental unit of the state of arizona, was granted the right to appoint the remaining members of the board.”
“The corporation may not take the following actions without the approval of asu: (a) any amendment, restatement, repeal, or other change to the articles of incorporation of this corporation. (b) any amendment, restatement, repeal, or other change to these bylaws. (c) merger, consolidation, or dissolution of this corporation. (d) sale of all, or substantially all, of the assets of the corporation. (e) the making of any loan or advance to any person (other than in the ordinary course of business). (f) the creation of any subsidiaries or affiliates of this corporation. (g) adoption of the business plan prepared annually by the board.
