“Category Beginning of Year End of YearAmerican Security Council Loan 525,000 525,000Step Up America Foundation (USAF) entered into a promissory note with the American Security Council Foundation (ASCF) for loans acquired prior to 2021 totaling $525,000. Under a loan modification dated March 3rd, 2022, SUAF agrees to pay the unpaid principal balance plus simple interest (non-compounding) at the rate of 2 percent per annum in the following two ways: (1) commencing three years after the date of the modification agreement on a quarterly basis, USAF will pay ASFC ten percent (10%) of all gifts and grants SUAF receives in the quarter from any individual, charitable trust, foundation, corporation, or other organization unless (i) the condition of the gift or grant, or the policies of the donor organization, prohibit any portion going to pay prncipal or interest of a loan, or (ii) the funds are received from the federal government, a state government, a federal or state agency, or a local goverment or subdivision, including a school district; and (2) commencing five years after the date of the modification on quarterly basis, SUAF will pay ten percent (10%) of the revenue it receives in the quarter from all subscriptions and licensing fees until the loan and interest is paid in full.”
