Duty to disclose - in connection with any actual or possible transaction where there is a financial interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board or relevant committee. Recusal of self - any director, officer or committee member who has a financial interest will recuse himself or herself from further involvement in any discussion relating to a transaction where he/she has a financial interest or in which he/she believes he/she has or may have a conflict of interest, and not participate in the process for determining whether a conflict of interest exists. Determining whether a conflict of interest exists - the remaining uninterested members of the board or committee shall decide if a conflict of interest exists and, if so, whether the conflict may nonetheless be addressed. Procedures for addressing the conflict of interest: the uninterested members shall first examine the facts and determine if a conflict exists. The determination shall be documented as appropriate. If a conflict is identified after exercising due diligence, the remaining uninterested board or committee members shall determine whether the foundation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible, the uninterested remaining board or committee members shall determine by a majority vote whether the transaction or arrangement is in the foundation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. Notwithstanding the foregoing, a voting member of the board or any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the foundation for services is precluded from voting on matters pertaining to that member's compensation. Record of proceedings the minutes of the board and all committees with board delegated powers shall contain: the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the board's or committee's decision as to whether a conflict of interest in fact existed. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings. Annual statements each director, officer and member of a committee with board delegated powers, shall annually complete and sign a statement substantially in the form attached ("annual statement") (as modified from time to time). If at any time during the year, the information in the annual statement changes materially, the director, officer or committee member shall disclose such changes to the chair of the board. Changes will be noted on the disclosure form as appropriate. The board shall regularly and consistently monitor and enforce compliance with this policy by reviewing annual statements and taking such other actions as are necessary for effective oversight. Periodic reviews to ensure the foundation operates in a manner consistent with its charitable purposes, periodic reviews shall be conducted to ensure compliance with this policy.

Part XII, Line 2

The foundation is a nonprofit entity as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes. As such, no provision for income taxes has been included in the foundation's financial statements. The benefit of a tax position is recognized in the financial statements in the period during which, based on all available evidence, management believes it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation process, if any. Tax positions that meet the more likely than not recognition threshold are measured as the largest amount of tax benefit that is more than 50% likely of being realized upon settlement with the applicable taxing authority. As of december 31, 2024, the foundation has not recognized liabilities for uncertain tax positions or associated interest and penalties.
