After disclosure of the actual, potential, or perceived conflict of interest, reba institute's ceo and cfo, in consultation with each other, determines whether a conflict of interest exists by following the procedures described: the interested person discloses all material facts to reba institute's ceo and cfo, and/or legal counsel concerning the proposed transaction or arrangement, including the circumstances giving rise to the potential conflict of interest. If reba institute's ceo and cfo are unable to agree in whether a conflict of interest exists, the matter is referred to reba institute's board of directors or the executive committee of the board of directors who decide if a potential conflict of interest exists. The reba institute board of directors or the executive committee requests information concerning the potential conflict of interest directly from the interested person. If the ceo or cfo have reasonable cause to believe an interested person has failed to disclose an actual, potential, or perceived conflict of interest, they inform the interested person of the basis for such belief and afford the interested person an opportunity to explain the alleged failure to disclose.
