BOARD MEMBERS of OWC are those companies agencies and organizations that support offshore wind development and contribute membership dues according to the terms set by the Board. Board Members have all rights of membership including voting rights. MEMBERS of OWC are those companies agencies and organizations that support offshore wind development and contribute membership dues according to the terms set by the Board for Members. Members do not have voting rights. SUPPORT ORGANIZATIONS of OWC are those companies agencies and organizations that support offshore wind development and contribute membership dues according to the terms set by the Board for Supporting Organizations. Supporting organizations do not have voting rights.”

Both Board Members and Members may attend and participate in any meeting of the Board of Directors or committee of the Association except for confidential meetings of the Board or Executive Committee. Members may also provide input to policy discussions and strategic planning of the Association.”

“The organizations Conflict of Interest Policy COI is strictly enforced. All directors employees and members of a committee with powers delegated to them by the Board must disclose the existence of a financial interest and sign an annual statement affirming they have received a copy of the COI read understand and agree to comply with it and understand the organization is a mutual benefit corporation that must engage primarily in activities which accomplish one or more of its tax-exempt purposes. If the Board or committee members decide a conflict of interest exists the interested person may not participate in the vote on the transaction or arrangement involving the possible conflict of interest. In the event a violation of the COI Policy occurs and is substantiated appropriate disciplinary and corrective action is taken. The official minutes of the affected meeting contain the details for all related discussions. Periodic reviews of the COI are conducted including whether compensation arrangements and benefits are reasonable and partnerships joint ventures and arrangements with management companies conform to the organizations written policies are properly recorded reflect reasonable investment or payments for goods and services further tax-exempt purposes and do not result in inurement impermissible private benefit or an excess benefit transaction.”
