The board may, in its discretion and in accordance with its bylaws, delegate responsibility to review and recommend the compensation packages of the executive director pursuant to this executive compensation policy to the organization's executive compensation committee (the "committee"). The board or committee shall obtain sufficient information, taking into consideration the knowledge and expertise of its members, to determine whether the full compensation packages of the executive director are reasonable, i.e., that they represent no more than fair market value for the services performed by the executive director. In assessing the reasonableness of the compensation packages, the board or committee shall take into account the entire packages, including salary, any bonus or incentive payments, severance payments, deferred compensation and noncash compensation, as well as any compensatory benefits such as payments to medical, dental, life insurance, or disability insurance plans, and any fringe benefits such as allowable expenses.”
