“Section A Line 1a: The Board of Directors established an Executive Committee in 2023 with such committee authorized to exercise the full authority of the Board of Directors in the management of the business and affairs of Mariposa Family Learning Center subject to limited exceptions set forth in the Bylaws during periods in between meetings of the Board of Directors. The Executive Committee took no action in 2024.”

“Section A Line 4: In 2024 the Board of Directors amended the Bylaws to i revise the director election process ii alter the length-of-service limitations for directors and iii provide for the election of non-voting emeritus trustees who serve in an advisory role but do not have any authority as directors. As amended the Bylaws do not allow any person to serve as a director for more than seven consecutive years.”

“Section B Line 11b: The Board of Directors delegated authority to review and approve this Form 990 to its Finance Committee. The Finance Committee received drafts of this Form 990 and had the opportunity to comment upon the same. A law firm and CPA firm were engaged to assist in the review of this Form 990. Each member of the Board of Directors received a complete copy of this Form 990.”

“Section B Line 12c: The Board of Directors has adopted a written conflict-of-interest policy that is applicable to all officers and directors of Mariposa Family Learning Center. Each officer and director annually executes a compliance statement in which he she certifies that i the policy has been read and ii he she has not had any actual or potential conflict of interest during the prior year except as explicitly specified. Such compliance statements were executed with respect to the 2024 calendar year and no such exceptions were specified. Additionally the officers and directors are periodically provided governance refreshers in which the conflict-of-interest policy requirements are reviewed.”

“Section B Line 15a: The Administration and Personnel Committee of the Board of Directors undertakes to evaluate annually the job performance of the Executive Director. That committee which consists entirely of independent directors also undertakes to obtain comparability data to assist the committee in making a recommendation on the Executive Directors compensation for the following year. That recommendation is presented to the Board of Directors also consisting entirely of independent directors in conjunction with its consideration of the operating budget for that following year. Ultimately the Board of Directors guided by the recommendation of the Administration and Personnel Committee sets the compensation for the Executive Director.”

“Section C Line 19: Mariposa Family Learning Center makes its Bylaws conflict-of-interest policy and year-end financial statements available for inspection upon written request.”
