Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall have power to transact all regular business of the hospital during the period between meetings of the governing board, subject to any prior limitation imposed by the governing board and with the understanding that all matters of major importance will be referred to the governing board.

The governing body receives and reviews a copy of the form 990 including requested schedules, as ultimately filed with the irs.

Form 990, Part VI, Section B, Line 12C

Any duality of interest or possible conflict of interest on the part of any governing board member should be disclosed to the other members of the board and made a matter of record, either through an annual procedure or when the interest becomes a matter of board action. Any governing board member having a duality of interest or possible conflict of interest on any matter should not vote or use their personal influence on the matter, and he should not be counted in determining the quorum for the meeting, even where permitted by law. The minutes of the meeting should reflect that a disclosure was made, the abstention from voting, and the quorum situation. The foregoing requirements should not be as preventing the governing board members from briefly stating their position in the matter, from answering pertinent questions of other board members since their knowledge may be of great assistance. The policy will be reviewed annually for the information and guidance of governing board members and that any new member be advised of the policy upon entering the duties of their office.
