Governance Explanations

Form 990, Part VI, Section B, Line 11B

After the 990 is prepared by the cpa firm, the chief executive officer and chief financial officer review the return for completeness and accuracy. Subsequent to their review, the 990 is presented by the cpa firm to the audit and executive committee for discussion, review, and edits. The final draft, including all schedules, is then provided to the board for review before e- filing with the irs.

Form 990, Part VI, Section B, Line 12C

All spy employees and members of the board are covered under the conflict of interest policy. All employees and members of the board of directors are expected to use good judgment, to adhere to high ethical standards, and to act in such a manner as to avoid any actual or potential conflict of interest. A conflict of interest occurs when the personal, professional, or business interests of an employee or board member conflict with the interests of the organization. Both the fact and the appearance of a conflict of interest should be avoided. The guidelines in the policy do not attempt to describe all possible conflicts of interest that could develop. Example of conflicts of interest include, but are not limited to: -using confidential information (printed, electronic, or otherwise) for personal gain to spy's detriment or the detriment of a client, employee, board member, or donor; -soliciting or accepting gifts, gratuities, favors, or anything of monetary value from persons having business relationship with spy; - acquiring any interest in property or assets of any kind for the purpose of selling or leasing to spy; - accepting gifts, grants, loans and favors from person having business relationship with spy; or - a joint venture or investment with persons having business relationships with spy. In the event it is not clear that a conflict of interest exists, the individual with the potential conflict shall promptly disclose the circumstances to the executive director. Failure to promptly disclose actual or potential conflicts of interest to the executive may result in discipline, up to and including dismissal from employment.

Form 990, Part VI, Section B, Line 15

Spy's board of directors has a process for reviewing and approving the compensation of officers on a regular basis to determine it is fair and reasonable with the goal of retaining employees at compensation levels within appropriate market range. The process for determining the compensation paid to the ceo and cfo includes the approval of the compensation arrangement in advance, by the board of directors, with all persons with a conflict of interest abstaining from the board's deliberation and discussion. The board reviews data of comparable compensation for similarly qualified nonprofit executives at similarly situated entities. The documentation of the board includes the terms of the transaction and the date of approval, the members who were present during the debate and vote on the transaction, a description of the comparable data and how it was obtained, and documentation of the basis for the determination.

Financial Statement Notes

PART X, LINE 2:

Spy is exempt from the payment of income taxes under internal revenue code (irc) section 501(c)(3) and california revenue and taxation code section 23701d. Accordingly, a provision for federal or state income taxes is not recorded in the accompanying financial statements. Spy is classified as an organization that is not a private foundation under sections 509(a)(1) and 170(b)(1)(a)(vi) of the irc. Gaap prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Spy has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities and the federal and state levels. The primary tax positions evaluated relate to spy's continued qualification as a tax-exempt organization and whether there are unrelated business income activities that would be taxable. Management has determined that all income tax positions, based on the technical merits of the position, will more-likely-than-not be sustained upon potential audit or examination. Therefore, no disclosures of uncertain income tax positions are required. Spy's income tax returns remain subject to examination for all tax years ended on or after june 30, 2019. Tax returns are subject to examination generally for three and four years after they were filed for federal and state, respectively.
