“Stephen morgan (director) and andrea morgan (president) are a married couple. William miller (director), stephen morgan (director), robert weber (secretary) and robert watkins (director and treasurer) are senior executives of wellsky corporation.”

“The foundation shall have one member. The member shall be wellsky corporation, a kansas corporation.”

“The member shall have the power to appoint and remove trustees at any time.”

“None of the following transactions or actions may be consummated or undertaken unless first approved by the member: 1. Any amendments of the articles of incorporation or bylaws 2. Any appointment, election or removal of directors 3. Any incurrence of indebtedness by the foundation in excess of $10,000 4. Any fundamental change in corporate form (such as dissolution, merger or consolidation with another corporation) 5. Any organization or formation by the foundation of any affiliate or subsidiary to be controlled by the foundation”

“The tax return will be prepared by an outside accounting firm and reviewed by an internal committee prior to filing. Upon review and approval, the board will file the tax return.”

“The organization requires each director, principal officer, and member of a committee with governing board delegated powers to annually sign a statement which affirms such person has received a copy of the conflicts of interest policy, has read and understands the policy, and has agreed to comply with the policy. If a director or officer has an interest that could give rise to conflict, that director or officer recuses themselves from any discussion and voting that affects their interest.”
