The ouray chamber resort association is supported in its mission by a voluntary group of members made up of any person, association, partnership, or estate having an interest in the objectives of the organization. All members agree to uphold the mission of the organization. The regular membership of the organization is made up of those persons that own or operate active for-profit or not-for-profit organizations or governmental entities who have been approved for membershp by the board of directors. All regular members are entitled to attend meetings of the organization and to vote in the affairs of the organization

Form 990, Page 6, Part VI, Line 7A

The board of directors of the organization is a volunteer board consisting of four directors, selected among the regular members of the organization. Each year, the board nomination period opens and both the nominating committee and regular members in good standing select a slate of directors for openings in the upcoming board term. If more candidates are nominated than openings are available, a general election among regular members in good standing will commence, with the candidates receiving the most votes from a quorum of those regular members (within the allocated voting period) being seated on the next board of directors.

Governance decisions that require a majority vote by a quorum of regular members include: changes to the organization's bylaws, the convening of the annual meeting, and the selection of a grievance committee (done at the annual meeting).

The board of directors accepts the end-of-year financial statements at the annual board planning meeting and accepts the annual organizational 990 filing at the board meeting following the filing. If the financial statements are not complete at the time of the annual board planning meeting, the board of directors will review them at monthly board meetings, until they are completed and accepted, prior to the filing of form 990.

The board of directors, at its annual planning meeting, discusses the conflict of interest policy and recommends changes as necessary. In board meetings, conflict of interest possibilities are discussed on a regular basis, and should a potential conflict of interest arise, are disclosed and the board or staff member affected would be recused from making decisions or acting on the issue. Staff members are annually updated on the conflict of interest policy in their employee manual, which is updated annually in april.

Form 990, Page 6, Part VI, Line 15A

The board of directors conducts an annual performance, salary and benefits review for the executive director via a panel of 3-5 participants who represent different stakeholders within the organization. The panel is typically made up of at least two board members and one regular member in good standing of the organization. The board may change this composition at will. The board then sets the upcoming year's job description, contract, salary and benefits for the executive director. Each year, comparative salaries from peer organizations are provided for review and comparison with the current budget position to keep the executive diector position at a comparable pay scale with similar-sized, budgeted, and scoped organizations.

All governing documents are available under the membership tab of the organization's website (ourayco.org). The conflict of interest policy is now codified with the organizational bylaws. The annual year-end financial statements are included in the extended annual report, which is presented in may/june of each year to the regular membership of the organization. This report is provided both in-person at the meetings and via email distribution to all members. The federal 990 returns are held in the organization's archive and are available for review upon request. They are also available on any number of nonprofit websites that link to annual 990 filings.
