Governance Explanations

The executive, governance, grants, audit, and finance committees are granted authority based on the organizations bylaws.

Form 990, Part VI, Section B, Line 11B

Review of the form 990 is completed by the organization's officers (management), and the board audit committee. The cfo in conjunction with external audit team (cla), as needed walk the committee through the report and responds to any questions of concerns. Focus is primarily on the return, not the data within the schedules, although all inquiries are addressed. A complete copy will be provided at the next following board meeting, for review and discussion.

Form 990, Part VI, Section B, Line 12C

The board obtains conflict of interest disclosures annually, and all participants are reponsponisble for signing the statements. It is the cfo's duty to obtain conflict of interest statements. In the event of a conflict, the board member is recused from the discussion and does not participate in voting. Each member of the board, advisory board members, volunteer committee members, staff and others associated with the fund annually sign a statement that lists any potential conflicts of interest, and that affirms the person a) has received a copy of the policy; b) has read and understood the policy; and c) has agreed to comply with the policy.

Form 990, Part VI, Section B, Line 15

The board of directors appoints a ceo performance and compensation review committee. The committee reviews various salary surveys to determine appropriate compensation, and makes a recommendation to the entire board for approval on a bi-annual basis. The last time this process took place was in 2022. Greengrants engaged an external consultation service to review and propose to the leadership team recommended compensation adjustments, and the development of salary bands. Multiple external surveys from regional and national sources were included the development of salary bands. The process and associated documentation resides in the organizations data repository. For other top management, salary survey comparisons are completed on a bi-annual basis from which recommendations are made to the board. Compensation reviews occur annually in june.
