Governance Explanations

Form 990, Page 6, Part VI, Line 7A

The governance committee is responsible for indentifying potential candidates to the board for their approval. New board members are primarily elected by a majority vote of the existing board of directors. However, student, professional and faculty members of the board are selected by a nominating committee selected by the board.

The 990 is reviewed by the ceo, management team, and appropriate members of the board of directors before the return is filed with the irs.

Form 990, Page 6, Part VI, Line 12C

All officers, directors, and key employees are required to annually disclose potential conflicts of interest to the board of directors by completing the conflick of interest statement form. If the board or management finds that a conflict of interest exists, the board will determine the appropriate action to address the conflict. Options include 1) take no action, 2) ask the individual to recuse him/herself from participation in related discussions or decisions within ewb-use, 3) permit the individual to participate in related discussion, but without voting in the final dtermination, or 4) ask the individual to resign from his or her position in ewb-usa. Ewb-usa's management will monitor proposed ongoing activities for conflicts of interest and disclose them to the board of directors in order to address potential or actual conflicts, whether discovered before or after the transaction occurred.

The executive committee of the board of directors develops the compensation package for the ceo. The executive committee reviews several sources of data to determine the compensation which includes guidestar and surveys.

Additional Explanations

Form 990

The board of directors voted to acquire engineering world health (ewh). The acquisition was effective september 1, 2024. No consideration was paid by ewb-usa to acquire ewh. With the cooperation of ewh, ewb-usa has taken over ewh's programs. Ewb-usa prepares financial statements and the accompanying footnotes in conformity with generally accepted accounting principles. Accordingly, the transaction herein is described and recognized as an acquisition for financial reporting purposes only. The binding legal documents of the transaction describe the transaction as a merger. Ewb- usa's management and board of directors believe the term merger best captures the substance and operational intent of the transaction. As a result of the acquisition, the fair value of the assets acquired exceeded liabilities which resulted in a contribution as detailed below: contributions received in acquisition: 575,917

International community program (icp) collaborates on more than 291 projects in 27 countries. These projects are driven by 204 chapters across the united states partnering directly with communities to meet their self- identified needs. Technical assistance is focused on six project types: water, civil works, sanitation, agriculture, energy and structures, and during 2024, icp has expanded into healthcare. Ewb-usas commitment to our hundreds of partnering communities is founded upon the premise that community-driven projects result in long-lasting and sustainable infrastructure solutions. Throughout this partnership, we bring together volunteers and community members of all backgrounds and experience levels to promote educational and leadership opportunities not typically provided in traditional academic settings. Ewb-usas volunteer base of 10,149 worked with 256 communities on 291 active projects and 53 completed projects in 2024. Completed projects directly impacted 751,240 community members.

General endowment: the income from this endowment provides operational support. Dave sacco memorial fund: the income from this endowment provides mentor scholarships to support travel and project costs.

Ewb-usa is exempt from income taxes under internal revenue code section 501(c)(3) and qualifies for the charitable contribution deduction. Income from activities not directly related to ewb-usa's tax exempt purpose is subject to taxation as unrelated business income. There was no unrelated business income tax incurred during 2024. Additionally, ewb-usa is subject to tax regulations in the countries they operate and any potential liability has been recognized in the financial statements. Management is required to evaluate tax positions taken by ewb-usa, and to recognize a tax liability if ewb-usa has taken an uncertain position that probably would not be sustained upon examination by taxing authorities. Ewb-usa believes it has appropriate support for any tax positions taken relative to its usa operations and that none would require recognition of a liability or disclosure in the financial statements. Ewb-usa is subject to routine audits by tax jurisdictions; however, there are currently no audits for any tax periods in progress.

VET UTILIZES THE SKILLS AND EXPERIENCE OF A DIVERSE POOL OF STUDENT AND PROFESSIONAL VOLUNTEERS TO IMPLEMENT ENGINEERING PROJECTS AND CONSULTING SERVICES. DURING 2024, A STEM OUTREACH PROGRAM WAS INITIATED TARGETING COMMUNITY COLLEGES IN SEVEN STATES AND INTRODUCING STUDENTS TO GLOBAL HUMANITARIAN ENGINEERING. OUR HIGHLY SKILLED VOLUNTEERS WORK WITH COMMUNITIES TO FIND APPROPRIATE SOLUTIONS FOR THEIR INFRACTRUCTURE NEEDS.
