Classes of members or stockholders: three community mental health centers in the catchment area are members and control bhi.

Members who can elect members of the governing body: each of the three members appoint 3 directors of bhi's governing body, one of whom will be the chief executive officer of the member organization.

Decisions of governing body subject to approval by members: the following actions are reserved for the affirmative and unanimous vote of the members: (a) approval of any agreement with another entity in which one or more of the members is a member, or in which one or more of the members has a separate financial or vested interest; (b) approval to seek and/or enter into any agreement to provide behavioral health care management services and related services; (c) adoption of a plan of merger, consolidation or liquidation (d) amendment of the articles of incorporation; or (e) amendment, alteration or repeal of the bylaws.

Process to review the form 990: the cfo reviews the form 990 in detail and a copy is provided to all board members at a board meeting prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Process for monitoring compliance with conflict of interest policy: all employees and board members are required to disclose any and all actual or potential conflicts of interest (coi). If an employee or board member is uncertain as to whether a relationship or activity constitutes a coi, they are expected to err on the side of disclosure and contact the compliance office for guidance. Failure to disclose a potential or actual coi may result in corrective action, up to and including termination. Board members will annually sign the affirmation for officers and directors, which states that the board member received a copy of this policy, the corporate compliance and employee contract relations policy (cc-302), and a copy of colo. Rev. Stat. 7-128-401. Board members and officers must also review and sign the conflict of interest disclosure statement annually. In the event a coi exists, the compliance office will coordinate, as appropriate, any resolution required, including required escalations to leadership for review. As a general rule, if a coi exists, one subject to the bhi coi policy may not take part in any decision or activities to which the conflict relates. In the event the ceo has a coi, the compliance officer may refer the matter to the board of directors. The board shall make the decision as to how the coi should be resolved, with input from the director of healthcare compliance and other leadership, as may be appropriate. Board members shall disclose a potential coi to other members before the board before any vote on a bhi business transaction and such disclosure shall be recorded in the board minutes. Bhi will seek outside counsel?s recommendation to determine whether a coi exists, and if so, what actions, if any need to be taken to ensure the conflict is addressed and any risks are mitigated.

Form 990, Part VI, Section B, Line 15A

Review of ceo or top mgmt official compensation: the board of directors determines the compensation for the ceo. Comparability data such as surveys of other bhos, the mental health industry, and information from mountain states employers council are used as a basis for compensation, with the last survey being performed in 2015. The executive board members will then make a recommendation on compensation, which is documented in a written contract with the ceo.

Review of other officer or key employees compensation: compensation for other officers and key employees are based on performance evaluations, and documented appropriately in employee files. Every two years, the hr department performs a salary survey using national survey data as well as data for local markets (where available). The board reviews and approves the compensation plan at a high level. Salary surveys were conducted in march 2014 and march 2016.
