Governance Explanations

Form 990, Part VI, Section B, Line 11B

Before filing the form 990, a detailed review of the form 990 is performed by the vice president of finance & operations in addition to a review by the president/ceo, audit committee, and board treasurer. Finally, the entire form 990 is included in the board packet sent to each board member for review prior to filing.

Form 990, Part VI, Section B, Line 12C

Annually all board of directors and all employees are obligated to complete and sign a conflict of interest form disclosing any and all potential conflicts of interest. All potential conflicts of interest listed are reviewed by the president/ceo and board chair to determine appropriate action necessary to mitigate any potential conflict. Appropriate action may involve disallowing the person to conduct transactions, prohibiting the person from participation in the board's deliberations and abstaining from voting on those matters, and/or ceasing to conduct business with an individual or organization. The board of directors is notified of all potential conflicts of interest as well as any action taken to mitigate the potential conflict.

Form 990, Part VI, Section B, Line 15

The executive committee of the board of directors determines compensation and bonus amounts for the president/ceo. The executive committee considers a self-evaluation drafted by the president/ceo and also compares performance against established goals, the skill set, and past performance of the president/ceo, reviews compensation and bonus amounts at other similarly sized not-for-profit organizations, consults with an executive coach/consultant about trends, and reviews the current economy to determine compensation and bonus amounts. Compensation and bonus amounts are reviewed annually for the president/ceo. Compensation for all other employees is determined by the skill set of the employee, past performance, and is based on current market practices for similar duties performed by individuals in organizations of similar size. Compensation is directly approved by the president/ceo and ultimately approved by the board as part of its approval of the annual budget.

Part V Line 2A

Number of employees reported on form w-3: denver public schools foundation co-employs its employees through an unrelated professional employer organization (peo) and, as such, the peo is responsible for filing forms w-2 and all payroll tax reports. Salaries and payroll taxes paid through the peo are reflected as if dps foundation were the sole employer for purposes of the functional expenses and compensation information.

Denver public schools foundation has an audit committee that assumes responsibility for oversight of the audit and selection of an independent accountant. There were no changes to the procedures followed by the audit committee in performing these responsibilities in 2020-21.

Financial Statement Notes

PART V, LINE 4:

Denver public schools foundation has three endowment funds, which are held at the original gift amount in perpetuity. The first endowment fund does not have stipulations on the distribution of earnings and, accordingly, the distributions are without restrictions to dps foundation and can be used for general operating support or any needs of dps foundation. The other two endowment funds do have stipulations on the earnings. Distributions of earnings from these endowment funds are restricted for 1) the a to z fund, which provides grants to dps schools and activities that go beyond schools limited budgets and 2) for education programs within denver public schools.

AWARDS WILL BEGIN IN 2021-22 AND CONTINUE FOR 2-3 YEARS.PANDEMIC SUPPORT REMAINED PROMINENT THIS YEAR AS WELL. DPS FOUNDATION KEPT STUDENTS CONNECTED; PROVIDING INTERNET ACCESS FOR MORE THAN 300 STUDENTS WHO HAVE LIMITED ACCESS TO WI-FI FOR REMOTE LEARNING. SUPPORT ALSO ENSURED MORE THAN 4,000 STUDENTS AT 11 SCHOOLS HAD SCHOOL SUPPLIES TO START THE 2020-21 SCHOOL YEAR, INCLUDING ITEMS SUCH AS HEADPHONES AND INDIVIDUAL WHITE BOARDS FOR REMOTE LEARNING. IN ADDITION, DPS FOUNDATION ACCELERATED LEARNING BY FUNDING HIGH-INTENSITY 1:1 MATH TUTORING FOR 100 STUDENTS.THANKS TO OUR DONORS' GENEROSITY, DPS IS MAKING STRIDES FOR MORE THAN 90,000 STUDENTS IN DENVER. AS THE NEW SCHOOL YEAR APPROACHES, DPS IS EXCITED TO WELCOME STUDENTS BACK TO THE CLASSROOM FOLLOWING A YEAR FILLED WITH UNCERTAINTY MIXED WITH REMOTE AND IN-CLASSROOM LEARNING. DPS REMAINS A VIBRANT AND DIVERSE DISTRICT WITH STUDENTS IDENTIFYING AS 52.4% LATINX, 25.6% WHITE, 13.8% BLACK, ALONG WITH SMALL PERCENTAGES OF ASIAN, NATIVE INDIAN, OR NATIVE ALASKAN. WITH THAT DIVERSITY COMES A GREAT MIX OF LANGUAGES SPOKEN IN THE DISTRICT: 36.3% OF STUDENTS ARE ENGLISH LANGUAGE LEARNERS WITH MULTIPLE WORLD LANGUAGES TAUGHT IN DPS SCHOOLS INCLUDING FRENCH, ITALIAN, SPANISH, LAKOTA, JAPANESE, ARABIC, AND CHINESE.
