Certain actions of Biblica Ministries Foundation, such as the appointment of Directors and Officers, the approval of any amendments to the Organization's Articles of Incorporation or Bylaws; the approval of the annual budget, and the purchase or sale of real property require the approval of the member.”

“Annually, the Organization's Directors and Officers are required to review the Conflict of Interest Policy and sign a statement indicating that either there are no known conflicts of interest, or disclosing known conflicts of interest. Any financial transaction with a related party or involving a Director or Officer with a conflict of interest requires competitive bids, where possible, and approval with full disclosure of the conflict, to the Board of Directors. Directors and / or Officers with any conflict of interest are precluded from participating in any voting or approving on matters were a conflict exists.”

“The Organization's President, Secretary and Treasurer received all of their compensation from Biblica Inc., a related organization. The compensation of Dr Carl Moeller, President of Biblica Ministries Foundation though October 15, 2017, who also served as the Biblica CEO, was established by the Biblica Inc. Board of Directors, after consideration of compensation given to other CEOs of other organizations of like kind and size. Compensation of the Organization's other Officers are established by the Biblica Inc. CEO, and reviewed annually by the Biblica Inc. Board Chair, after considering comparable compensation for similar positions with similar organizations and levels of experience. In addition, in 2018 an independent compensation analysis was conducted by an outside consulting firm for the Biblica Inc. CEO, Biblica CFO and two other key positions.”

(2) Available for public inspection at our corporate offices: 1820 Jet Stream Drive, Colorado Springs, CO 80921 M-F 8:00am to 4:30 pm. In addition, other governing documents, including Form 1023, Application for Recognition for Exemption, and the Conflict of Interest Policy, are also available for public inspection at our corporate office, or upon written request.”

“Common Paymaster: Biblica Ministries Foundation shares three employees with Biblica Inc. (84-1194554). For purposes of payroll tax reporting, these shared employees are paid out of Biblica Inc., as the common paymaster, and Biblica Ministries Foundation reimburses Biblica Inc. for the portion of salaries, benefits attributable to servicing the Organization. As common paymaster, Biblica Inc. files Form W-2 for these shared employees.”
