“Institutions of higher education, groups of higher education institutions, government, and nonprofit organizations (or sub-units thereof) in the pacific northwest region of the united states and nearby areas that are described in section 501(c)(3) of the irs code and section 509(a)(1) or (2) of the irs code are qualified to be members of nwacc. Organizations that meet these qualifications may be admitted to nwacc as new members upon invitation by the board of directors. Member institutions shall pay annual dues and any other member fees, as prescribed by the board of directors.”

“Each member institution shall appoint an individual from that institution to be its representative to the corporation member council. Member representatives shall be invited to attend the annual meeting of the corporation member council and may vote on all matters presented for corporate action. The member council is responsible for the development of general guidance of the corporation. Without limitation to the generality of the foregoing powers, the member council shall appoint a board of directors and may delegate to the board of directors any of the powers and authority of the council in connection with the management of the business and affairs of this corporation.”

“The form 990 is prepared by an outside cpa firm and reviewed by the corporation president and vice president. The draft form 990 is then distributed electronically to all members of the board of directors before it is filed with the irs. The directors are invited to submit questions or comments to the president or directly to the outside cpa firm.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
