Naiop - Colorado Chapter

“The executive committee of the board shall consist of elected officers, the immediate past-president, and the penultimate past president. The executive director and managing director of the chapter shall be non-voting members of the executive committee. The term of office for the members of the executive committee shall coincide with the term of office of the officers elected each year. The executive committee shall have full authority to act as and on behalf of the board in the interim between regular and special meetings of the board.”

(wmr), an unrelated organization, provides full service management to naiop including general administration, financial administration, event planning, fundraising, and legislative interaction. Total compensation paid to wmr during 2022 for these services was $456,445.”

“Principal members: any person, legal or real, whose primary business is engaged in the development, ownership, management of, or investment in commercial real estate, shall be eligible for principal membership in the chapter. Associate member: any person, legal or real, not qualifying as a principal member and whose primary business is providing services or products to the industrial, office or related commercial real estate industry, shall be eligible for associate membership in the chapter. Affiliate member: any person employed by a principal member, associate member, or public official member shall be eligible to become an affiliate member of the chapter.”

“Directors who are not elected officers, the immediate past president, the penultimate past-president, or a naiop corporate officer or director shall be elected by the principal, associate, and affiliate members at the annual meeting. Each principal, associate, and affiliate members shall be entitled to one vote.”

“The form 990 is provided to the naiop executive committee for review before filing. A more comprehensive review is performed by the finance committee (the executive director, president and president-elect) before being signed and filed by the executive director.”

“Naiop colorado has a conflict of interest policy in place that covers all officers and directors of the organization. Each officer and director is annually required to complete a conflict of inteterst statement. Any potential or actual conflicts of interest are reviewed by the board of directors. Individual(s) who have an actual or potential conflict of interest are removed from deliberating and voting on the matter.”
