“The executive committee consists of elected officers who are also directors of the chamber and up to 3 additional members as determined by the then current board of directors. The executive committee shall have all of the power and authority of the board of directors between meetings of the board, except as prohibited by the act.”

“The chamber shall have three classes of members. A. Dues paying voting members. Each voting member shall only be entitled to vote in a matter requiring general membership approval or on any matter submitted to a vote of the voting members by the board of directors. B. Non-dues paying voting members. The chamber may have such class of non-dues paying voting members as may be designated from time to time in the manner determined by the board of directors. C. Non-voting members. The chamber may have such class of non-dues paying non-voting members as may be designated from time to time in the manner determined by the board of directors.”

“The form 990 is prepared by the organization's public accounting firm based on information provided by management. Once a draft of the filing is available, the organization furnishes a copy of the form 990 for review by the board treasurer.”

“The executive committee of the board of directors' (ec) performance evaluation and compensation review process was as follows: - ceo completed a self-evaluation using a form used in prior years and provided to the ec. - each executive committee board member was consulted for feedback regarding the self evaluation and their rating of performance in each category. - past chair used compiled information to complete a performance evaluation using the same form. - ec finalized evaluation, compensation adjustment and bonus. Adjustments were calculated using internal data and data from the colorado association of chamber executives. - board chair and past chair met with the ceo on 3/11/22 to discuss the evaluation, compensation adjustment and bonus. - past chair notified the chamber's accountant of the adjusted compensation on 3/14/22, effective 1/1/22, and bonus and approved for payment.”
