The conflict of interest policy requires officers, trustees, and key employees to disclose annual interests that could give rise to conflicts. The policy and disclosure form are distributed and collected annually, and individuals are required to update the disclosure form throughout the year if potential conflicts arise. Potential conflicts of interest are reviewed by the board of trustees.

The board of trustees reviews and approves the crt executive leadership annual salaries, with no participation by executive leadership or other interested persons. Executive leadership's salary is established using comparable data for similarly qualified persons in functionally comparable positions at similar nonprofits; consideration of roles and responsibilities for each executive; and cost of living data. Comparable market data is obtained from salary surveys and form 990s filed by comparable not-for-profit organizations. Discussions and decisions regarding the compensation are documented in executive committee meeting minutes. Crt executive leadership also receives reimbursements for routine, reasonable, and documented expenses incurred during the year under an accountable plan.

Creede repertory theatre (crt) is a cultural home for artists, residents, and visitors of the west. Crt is committed to producing an annual repertory season comprised of the best of contemporary and classic theatre from may through september; providing equitable access to arts education for students in rural and remote communities; and developing new theatrical works through the headwaters new play program. Crt is the largest employer in mineral county and a major component of its economy. Crt performances and educational opportunities are made accessible to the public through free programming to creede children and discounts for residents of the san luis valley. Crt's education programs include free friday day camps; an in-school residency; the young audience outreach tour, an original bilingual musical which impacts over 32,000 students across the southwestern united states each year; kid show, a professional mentorship program; summer camps; and community outreach efforts.

The theatre's primary objectives in managing endowments are to create a steady stream of revenue to support its mission; to preserve the purchasing power of the endowment in perpetuity; and to achieve the highest total return with a reasonable level of risk. The theatre has adopted investment and spending polices, approved by the board of trustees, for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of these endowment assets over the long-term. The theatre's spending and investment policies work together to achieve this objective. The theatre may request an annual distribution of up to 5% of 12 trailing quarters. The board may change distribution percentage not more than quarterly. Distributions or loans from the principal of the fund to meet an emergency need only if the distribution has been approved both by vote of three- fourths of all directors and by vote of three fourths of all members of the board of trustees of the foundation.
