Governance Explanations

Form 990, Part VI, Section A, Line 7A

All directors must be members of the association and shall be elected by the board of directors. The number of persons comprising the board of directors shall be determined according to the following: (a) affiliated local associations - shall be entitled to nominate members of such affiliated local association to serve as directors of the association as provided as follows: 3 members, the 1st of which must be a builder member, the 2nd must be an associate member, and the 3rd can be either a builder or an associate member, plus one additional member for each additional 100 builder members, the 1st of which must be a builder member, of such affiliated local association, to serve as directors of the association. (b) at-large members - any at-large builder member may nominate himself or herself to serve as a director of the association. The board of directors shall elect, from such nominees, one at-large builder member, plus one additional at-large builder member for each at-large builder members of the association in excess of 50, to serve as directors. (c) committee chairpersons & association officers as directors, committee members - the president, vice president/president elect, vice-president/treasurer, president/secretary, immediate past president, government affairs chairperson, executive officers council chairperson and the state representative shall constitute the executive committee of the association. In addition to the number of directors an affiliate local association may nominate per above and in addition to the number of at-large members who may be elected as directors by the board of directors per above, all members of the executive committee, chairpersons of all committees of the association, and 1 representative from homeaid colorado as determined by that organzation shall also be members of the board of directors. (d) the chairman of the board of directors shall have the authority to nominate, but shall not be required to nominate, as many as three members to serve as additional directors of the association. Such nominees may be selected from any affiliated local association or from the at-large members of the association. Any director(s) nominated by the chairman of the board shall serve terms not longer than one year and ending concurrently with the term of office of the chairman of the board. (e) the state representative from the colorado association of home builders to the national association of home builders ("state representative") shall be elected and appointed by the executive committee of the board of directors and, if not already a director, shall serve as a director with full voting power and shall have all other authority attendant thereto, and shall be in addition to the number of directors an affiliated local association may nominate and the board of directors may elect and appoint otherwise pursuant to the bylaws. (f) the executive committee of the board of directors may elect and appoint one or more members of the association to represent the association as a national builder or associate director of the national association of home builders ("national association director") or as an alternate director alternate national association director") of the national association of home builders, as provided in the bylaws of the national association of home builders or any other applicable rules, and, if not already a director, shall serve as a director with full voting power and shall have all other authority attendant thereto, and shall be in addition to the number of directors an affiliated local association may nominate and the board of directors may elect and appoint otherwise pursuant to the bylaws. (g) in the event a member of the association serves as a national vice chairman of the board to nahb, if not already a director, that member shall serve as a director with full voting power and shall have all other authority attendant thereto, and shall be in addition to the number of directors an affi

The conflict of interest policy covers voting members of the board of directors including the executive committee. The executive committee annually reviews the conflict of interest policy to determine if conflicts exist and is ultimately responsible for monitoring and enforcing compliance with the policy as appropriate. Anyone who has a conflict is not permitted to vote on issues where their conflict applies.

The executive committee (consisting of the chairman, first vice chairman, second vice chairman/treasurer, third vice chairman/secretary, immediate past chairman, government affairs chairperson, political funding chairperson, executive officers council chairperson, the nahb state representative, and chairman's appointee) appointed a task force which reviewed comparable positions and salaries and then came to a conclusion on appropriate compensation packages for the organization's ceo, executive director, and top management.

Ted leighty, the chief executive officer of colorado association of homebuilders (cahb), is also the ceo of the home builders association of metropolitan denver (hbamd). His salary for both roles is paid by cahb. Hbamd then reimburses cahb for the hbamd allocable salary expense attributable to mr. Leighty. The two organizations are not related through common supervision or common control.
