Professional rodeo cowboys assocation's (prca) ceo, tom glause, also serves as the ceo of the related organization, prca properties, inc. (properties). Based on the irs definition of a business relationsip, tom glause has a business relationship with pamela mcmanus, cfo of prca, due to the officers' joint service on the board of properties, where tom glause is employed as an officer-employee.

THE ORGANIZATION HAS THE FOLLOWING main MEMBERSHIP CATEGORIES: PERMIT MEMBERS, CONTESTANT CARD MEMBERS, NONCONTESTANT CARD MEMBERS, AND SPECIAL MEMBERSHIPS. The PRCA Noncontestant Card Members comprising the categories of (i) Stock Contractors, (ii) Rodeo Committee and (iii) Contract Personnel each elect a separate Executive Council to facilitate communication between the Board of Directors and the represented category of membership. These three Executive Councils each elect the representatives for their category of membership to serve on the Board of Directors and the Competition Committee. Additionally, there is a fourth Executive Council comprised of Contestant Representatives to the Competition Committee and the Contestant Executive Council elects the Contestant Directors to the Board of Directors. Rodeo Committee Executive Council Representatives are elected by Active, Noncontestant Card Members- Rodeo Committee and Active Noncontestant Card Members-Rodeo Producer which have sponsored at least one PRCA-approved rodeo in the Rodeo Year preceding the election year. These members are eligible to vote for one at-large nominee and one nominee in the appropriate purse-money category. Stock Contractor Executive Council Representative are elected by Active Noncontestant Card Members-Stock Contractor who are not serving a suspension at the time of election and who have participated as a Stock Contractor or First Year Stock Contractor during the Dues Paying Year preceding the year of election. These members are eligible to vote for two different Stock Contractor Executive Council representative nominees in even-numbered years and three different nominees in odd-numbered years. Contract Personnel Executive Council Representatives are elected by Active Noncontestant Card Members in any of the Contract Personnel categories who are not serving a suspension at the time of election. These member are eligible to vote for one at-large nominee and one nominee in the appropriate participation category of which said Active Noncontestant Card Member has participated during the Rodeo Year preceding the year of election. The Contestant Representative to the Competition Committee/Contestant Executive Council is elected by Active Contestant Card Members who are not serving a suspension at the time of election. Active Contestant Card Members are eligible to vote for one nominee for Contestant Representative to the Competition Committee/Contestant Executive Council in each contest event category in which such Member has competed during the Rodeo Year prior to the year of election. Finally, General Membership Representative to the Competition Committee is elected by the Active Card Members (including Noncontestant Card Members-Rodeo Committee or Rodeo Producer) and Life Members .

The Association accounts for any uncertainty in income taxes by recognizing the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. The application of income tax law is inherently complex. Laws and regulations in this area are voluminous and are often ambiguous. As such, the Association is required to make many subjective assumptions and judgments regarding income tax exposures. Interpretations of and guidance surrounding income tax law and regulations change over time and may result in changes to the Association's subjective assumptions and judgments which can materially affect amounts recognized in the consolidated statements of financial position and consolidated statements of activities. The Association believes that it does not have any uncertain tax positions that are material to the consolidated financial statements.
