“Line 1a - authority delegated to committee explanation article vii of the organization's bylaws establishes an executive committee composed of the board chair, vice chair, secretary, treasurer, immediate past chair, and four members-at-large from the board of directors. The executive committee shall have general supervision of the affairs of the society, conduct business that may be referred to it by the board of directors, and report its action to the board of directors for ratification at its next meeting. Such action shall be subject to revision, alteration, or cancellation by the board provided no rights or actions of third parties shall be adversely affected.”

“The board designates the audit committee to review the 990 for the entire board. The audit committee reports back to the board with its recommendations, at the same time providing each board member with a copy of the 990 draft. If the board approves the 990, zoo management then files the 990 with the irs.”

“The conflict of interest policy is reviewed annually by the board of directors and management, and relevant disclosures are given to financial statement auditors every year. The conflict of interest policy covers board members, officers, and identified employees. Potential conflicts are reviewed by the vice president of finance, the president & ceo, and the board of directors, depending on the level at which the conflict occurs. Parties to the conflict of interest are removed from discussion and voting during the meetings when agenda items are related to the conflict of interest.”
