“The executive committee shall include at least six directors including the chairperson, vice chairperson, secretary, treasurer and at least two other directors selected by the chairperson. The executive committee shall meet at the call of the chairperson and may exercise all of the authority of the board when such action cannot be deferred until the next board meeting. A quorum for any meeting shall be three members of the executive committee. Notice of action of the executive committee shall be provided no later than the next meeting of the board. The executive committee may also meet from time to time to provide advice and counsel to the executive director between meetings of the board.”

“The return is prepared by an independent cpa firm. The form 990 was presented to the finance and audit committee of the board of directors. A complete copy of the form 990 is provided to the board prior to filing with the internal revenue service.”

“All members of the board of directors and principal officers are required to comply with the conflict of interest policy and complete an annual statement reporting any potential conflicts. If any actual or potential conflict of interest arises, an interested person must disclose to the executive director or the chair of the board of directors ("board chair") his or her financial interest, and be given the opportunity to disclose all material facts in connection with the conflict of interest to the finance and audit committee or the board of directors. Once any actual or potential conflict of interest has been determined to exist and all material facts connected therewith have been disclosed, the interested person shall not be included in any discussions or decisions as how the conflict of interest will be addressed. If the board of directors has reason to believe that the interested person has failed to disclose any actual or possible conflict of interest, such person shall be given the opportunity to explain any alleged failure to disclose the actual or potential conflict of interest. If, after investigation of the alleged failure to disclose, it is determined that the interested person has in fact failed to disclose an actual or potential conflict of interest, the covered person may be subject to appropriate disciplinary or other action by the board of directors.”

“Compensation for the executive director is set by the board of directors. A committee of the board of directors is appointed by the board chair. The committee evaluates the performance of the executive director and researches comparable salaries of executive directors of similar legal services programs throughout the country and nonprofit agencies in colorado. A salary recommendation then is based on the work the executive director performs. Once determined by the committee and reviewed by the chair the proposed salary is presented to the full board for its formal approval and is documented in the board minutes. The board of directors has adopted an executive compensation philosophy statement which was reviewed and adopted by the full board. Key employees and other senior staff salaries are reviewed by the executive director. This process last took place in 2024.”
