Board members annually and upon assumption of responsibilities as a board member review the conflict of interst policy and sign a conflict of interest disclosure statement.

During 1st quarter, President/CEO outlines performance criteria to include board approved goals/objectives of the annual marketing plan, budget, projects specified from previous evaluation year and job description responsibilities. - During 4th quarter, the President/CEO prepares a self evaluation which includes accomplishments and performance against goals. This information is submitted to the review committee (Board Chair,Immediate Past Chair and Incoming Chair) for inclusion in their annual review process. - During 4th quarter, the HR Director completes a compensation analysis of the President/CEO position using data from various sources within the CVB, non-profit and for-profit industries. This information is then compiled and submitted to the review committee. - Prior to the end of the evaluation year, the review committee evaluates and assesses the performance of the President/CEO based on progress toward established goals and the working relationship with staff and membership. The review committee then meets with President/CEO to discuss the evaluation. The evaluation is documented and signed by the Board Chair and President/CEO. - Upon review of compensation analysis data, the Board Chair will make a recommendation to the Executive Committee as to whether or not there will be a base wage merit increase for the next year and incentive plan payment for the evaluation year. Once approved, the Board Chair submits official documentation to HR for processing and recordkeeping purposes. Wage Analysis Process Visit Denver is quite complex when it comes to comparing wages/positions to other organizations. Depending upon the position, the applicant pool is derived from various industries such as non-profit, private, hotel and/or CVB. On an annual basis, a wage market analysis is completed using data available from Mountain States Employers Council (MSEC). Depending upon the position, the data is derived from Non-Profit, Executive, Private and Hotel industries across the Denver Metro area. Every two years, a wage analysis specific to the CVB industry is conducted by two separate organizations, DMAI and Performance Management, Inc. Each organization breaks down their analysis depending on organization and/or budget size. Based on a detailed compilation of the above information, an appropriate wage range is created for each of our positions. Each incumbent's wage placement is reviewed against the wage range to ensure proper placement. -Annual Wage Increase Review Each year, Visit Denver obtains information from MSEC for the average projected increase rates for the upcoming year from the non-profit and service industries in the Denver/Boulder area, as well as all industries across the same geographic region. If an individual does not require a "market wage adjustment", then Visit Denver utilizes their performance review score as a guideline to determine the merit increase percentage using a scale, which is based upon the MSEC data and available payroll budget increase.

Part X, Line 2:

The Bureau adopted the Accounting for Uncertainty in Income Taxes accounting standard which requires both entities to determine whether a tax position (and the related tax benefit) of one of the entities is more likely than not to be sustained upon examination by the applicable taxing authority, based solely on the technical merits of the position. The tax benefit to be recognized is measured as the largest amount of benefit that is greater than fifty percent likely of being realized upon settlement, presuming that the tax position is examined by the appropriate taxing authority that has full knowledge of all relevant information. Based on its continued analysis, the Bureau has determined that the adoption of this standard does not have a material impact on the financial statements, therefore, no amounts have been recognized as of December 31, 2017 and 2016.
