“According to the by-laws, the board of directors shall establish membership procedures, guidelines and policies, for the election of members of all classifications in conformity with the requirements of rotary international.”
“12 board directors are elected by a vote of all club members present at the annual meeting. The president and treasurer are elected by the board. The president appoints the secretary and vice presidents (affirmed by the board) for their year.”
“Membership dues must be approved by a vote of the club members prior to the beginning of each fiscal year. Amendments to the bylaws must be approved by a two-thirds vote of all members present at a regular club meeting.”
“The form 990 is provided/prepared by the club accountant and reviewed by the contract project manager and treasurer prior to filing. After the 990 is approved by the treasurer, it is distributed to the board members before being filed with the irs.”
“Board members are required to sign the conflict of interest policy at the start of their term of office. Each officer, director, member or employee is required to give notice of any issue in which they have an interest or relationship which would cause conflict of interest during their term of service. If an conflict arises, that person refrains from discussion and voting on the tranaction he/she has an interest in.”
