Effective January 1, 2017 the Bylaws of the Organization were revised as follows: (1) removed the membership requirement; (2) deleted the compensation committee and assigned the duties of that committee to the Executive Committee; (3) created a governance committee charged with making officer and board member nominations and assuring appropriate governance structure; (4) provided for board adoption of executive compensation philosophy and ratification of CEO compensation as recommended by Executive Committee; (5) made minor changes to the processes for election of directors and officers.”
