During the tax year, the organization amended article iv of its bylaws to clarify the board of directors' authority and composition. Section 1 ("general powers") was revised to affirm that no individual, entity, or committee has approval or veto power over the health center board's required authorities and functions, and that collaborations may not restrict those powers. Section 5 ("composition of board") was amended to specify that the health center board independently selects and removes its own members, including the board chair, without external limitations.

Elevate health center enforces its conflict of interest policy through ongoing education, disclosure requirements, and documented board oversight. Each board member, employee, agent, consultant, and vendor ("interested person") receives a copy of the policy upon association with the organization and must complete an annual conflict of interest disclosure and certification form. Interested persons are also required to disclose any actual or perceived conflicts as they arise. When a potential conflict is identified, it is reported in writing to the chief executive officer or the board chair for review. If the conflict involves a board or committee matter, the interested person provides relevant information but is recused from the discussion and vote. All disclosures and recusals are recorded in the meeting minutes. The organization ensures compliance through board and management review, adherence to procurement standards, and consistent application of disciplinary measures for violations, which may include reprimand, reassignment, or removal. This process, along with annual certifications, ensures that personal, professional, or financial interests do not interfere with the organization's mission or operations.

The board of directors has a policy for reviewing and approving the compensation package of the chief executive officer on a regular basis to determine it is fair and reasonable with the goal of retaining employees at compensation levels within appropriate market range. Financial Statement Notes

PART X, LINE 2:

The health center is exempt from the payment of income taxes under the internal revenue code (irc) section 501(c)(3) and california revenue and taxation code section 23701d. Accordingly, a provision for federal or state income taxes is not recorded in the accompanying financial statements. The health center is further classified as a public charity pursuant to irc sections 509(a)(1) and 170(b)(1)(a)(iii). U.s. Gaap prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. The health center has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities at the federal and state levels. The primary tax positions evaluated relate to the health center's continued qualification as a tax-exempt health center and whether there is a material unrelated trade or business income tax liability. Management has determined that all income tax positions, based on the technical merits of the position, will more likely than not be sustained upon potential audit or examination. Therefore, no disclosures of uncertain income tax positions are required. The health center's income tax returns remain subject to examination generally for three and four years after they were filed for federal and state, respectively.

THE HEALTH CENTER IS FURTHER CLASSIFIED AS A PUBLIC CHARITY PURSUANT TO IRC SECTIONS 509(A)(1) AND 170(B)(1)(A)(III). U.S. GAAP PRESCRIBES A RECOGNITION THRESHOLD AND MEASUREMENT ATTRIBUTE FOR THE FINANCIAL STATEMENT RECOGNITION AND MEASUREMENT OF A TAX POSITION TAKEN OR EXPECTED TO BE TAKEN IN A TAX RETURN. THE HEALTH CENTER HAS EVALUATED ITS TAX POSITIONS AND THE CERTAINTY AS TO WHETHER THOSE POSITIONS WILL BE SUSTAINED IN THE EVENT OF AN AUDIT BY TAXING AUTHORITIES AT THE FEDERAL AND STATE LEVELS.
