Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared,reviewed by management, and is ready to be filed with the internal revenue service, it's submitted electronically to members of the organization's governing body for any comments prior to its submission. The governing body is provided with one week to review the prepared form 990 and provide their comments. Any comments are then grouped, summarized and provided to the compliance officer or committee in charge of filing the return for their review. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The organization currently has in place a conflict of interest policy which it monitors and enforces. If a director, officer, or key employee has a personal or financial interest in a proposed contract or transaction with the coalition, they must make full disclosure of such interest before any discussion, negotiation, or action is taken on such transaction. Any director, officer, or key employee who is aware of a potential conflict of interest with respect to any matter coming before the board shall not be present for any vote in connection with the matter or otherwise attempt to influence the vote of the board of directors on such matter. To implement this policy, each director, officer, and key employee of the center will submit annually a conflict of interest disclosure statement and any conflict, if not previously dislosed, shall be disclosed prior to any discussion or vote of the directors on any matter which may present a potential conflict of interest. These disclosure forms will be reviewed by the executive committee, which will attempt to resolve any actual or potential conflict and, in the absence of resolution, refer the matter to the full board of directors for consideration.

Form 990, Part VI, Section B, Line 15A

The organization has established a written compensation policy for their compensation committee to follow in establishing the compensation for the executive director and other officers. The policy mandates the executive committee will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the executive director and other officers based on a review of comparability data. For example, the executive committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following: 1. Salary and benefit compensation studies by independent sources; 2. Written job offers for positions at similar organizations; 3. Documented telephone calls about similar positions at both nonprofit and for - profit organizations; and 4. Information obtained from the irs form 990 filings of similar organizations. To approve the compensation for the executive director and other officers the board must document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. Documentation will include: a) a description of the compensation and benefits and the date it was approved; b) the members of the board who were present during the discussion about compensation and benefits, and the results of the vote; c) a description of the comparability data relied upon and how the data was obtained; and d) any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits. The president of the board, who is a volunteer and not compensated by the center, will operate independently without undue influence from the executive director. No member of the executive committee will be a staff member, the relative of a staff member, or have any relationship with staff that could present a conflict of interest.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from income taxes under section 501(c)(3) of the internal revenue code on activities related to its exempt purpose. The organization adheres to the provisions of fasb asc 740, income taxes. Asc 740 prescribes a comprehensive model for financial statement recognition, measurement, classification, and disclosure of uncertain tax positions. The organization has concluded that it does not have any uncertain tax positions that require recognition or disclosure in the financial statements. Management is of the opinion that all income tax filings since inception are subject to examination.
