“On an annual basis, all board members are provided with a copy of the conflict of interest policy and are required to complete and sign an acknowledgment and disclosure form. All completed forms are provided to and reviewed by the chair. Any potential conflict of interest which could result in a direct or indirect financial or personal benefit to a director, officer, or member of a committee with governing board delegated powers must be disclosed, in good faith, to the board of directors. The interested individual may participate in the information-gathering stage of the board of directors discussion, but will not participate in the final deliberation or decision regarding such contract or other transaction. The interested individual may not vote on such contract or other transaction. The minutes of the meeting of the board of directors or committee will reflect: (a) that the conflict of interest was disclosed; (b) that the interested individual was not present during the final discussion or vote of the board of directors or committee; and (c) that the interested individual abstained from voting. All questions as to whether a conflict of interest exists will be resolved by a vote of the board of directors in which the interested individual may not vote.”

“The organization has a hr/legal committee, and compensation policy to provide guidelines for establishing and administering a compensation plan for its employees. Comparability data is considered, including public survey providers, forms 990 of other arts/dance organizations of similar size, and current salaries offered on recruitment listings for similar positions. Salaries, and changes to existing salaries for the ceos and executive director, and other senior leadership positions is recommended by the hr/legal committee, executive committee, and finance committee for approval by the board of directors. All compensation decisions and actions are documented. In addition to the ceos and the executive director, there are no other compensated officers or key employees.”
