“A copy of the completed professsionally-prepared tax return is provided to the 5 current board members to review, ask questions, and express concerns regarding the return by a specific deadline. Both the president and treasurer have finance backgrounds.”
“The foundation's conflict of interest policy requires a director or officer to disclose any potential financial interest or potential conflict of interest. A financial interest is not neccesarily a conflict of interest. Once disclosed, the party who made the disclosure is not permitted to vote on the transaction or issue. Michelle diffenderfer, a director and officer, disclosed that her law firm was interested in legal representation of the foundation. Ms. Diffenderfer left the meeting and abstained from voting in accordance with the foundation's conflict of interest policy.
