THIS COMBINATION WAS COMPLETED TO ACHIEVE SEVERAL KEY OBJECTIVES: STRATEGIC PURPOSE: -CONSOLIDATE COMPLEMENTARY PROGRAMS SERVING THE SAME GEOGRAPHIC AREA AND POPULATION -ELIMINATE SERVICE GAPS AND REDUCE DUPLICATION OF EFFORTS -CREATE A MORE COMPREHENSIVE CONTINUUM OF CARE FOR CHILDREN AND FAMILIES -STRENGTHEN ORGANIZATIONAL CAPACITY AND SUSTAINABILITY THROUGH COMBINED RESOURCES OPERATIONAL IMPACT: UNDER THE FORMAL AGREEMENT AND PLAN OF MERGER, ONE ACCORD FOR KIDS ASSUMED ALL ASSETS, LIABILITIES, AND OPERATIONS OF TAFN WHILE MAINTAINING ITS CORPORATE IDENTITY AND TAX-EXEMPT STATUS. THE ORGANIZATION OPERATES UNDER AN AMENDED AND RESTATED CERTIFICATE OF FORMATION THAT REFLECTS ITS EXPANDED MISSION AND CAPABILITIES. ALL TAFN EMPLOYEES BECAME EMPLOYEES OF ONE ACCORD FOR KIDS WITH PRESERVED COMPENSATION AND BENEFITS, ENSURING CONTINUITY OF SERVICE DELIVERY. FINANCIAL AND OPERATIONAL IMPACT: THE COMBINATION WAS ACCOUNTED FOR AS A MERGER BASED ON THE CRITERIA IN FASB ASC 958-805, WHEREIN THE GOVERNING BODIES OF BOTH ENTITIES CEDED CONTROL TO A UNIFIED GOVERNING STRUCTURE. THE CARRYOVER METHOD OF ACCOUNTING WAS USED TO ACCOUNT FOR THIS TRANSACTION, WHICH COMBINES THE ASSETS, LIABILITIES, AND NET ASSETS OF THE MERGED ORGANIZATIONS. THE COMBINATION WAS EFFECTIVE ON SEPTEMBER 1, 2024, AND THE RESULTS OF THE COMBINED ENTITY'S OPERATIONS ARE INCLUDED IN THESE FINANCIAL STATEMENTS FROM THAT DATE FORWARD. THE MERGER RESULTED IN A NET ASSET INCREASE OF 408,088. THIS ADDITION STRENGTHENS THE ORGANIZATION'S FINANCIAL POSITION AND OPERATIONAL CAPACITY TO SERVE MORE CHILDREN AND FAMILIES IN NEED. |
