“Each member of the Corporation has the exclusive right to 1) appoint and remove two Member Appointed Directors as defined in MIHF Bylaws Section 3.2(B); and 2) fill vacancies of their respective two seats for Member Appointed Directors. Note: The four member-appointed directors constitute a majority of the board, which is restricted to a maximum seven directors.”

Deliberation on the matter should take place only among non-conflicted directors. The content of the deliberations, both verbal and written, should not be shared with the conflicted director. Prior to deliberation, the non-conflicted directors should have discretion to invite the conflicted director to share information that could help inform the vote. The conflicted director should comply if such communcation is not prohibited by contract or law.”

“MIHF makes available on request the annual IRS Form 990 (minus Schedule B), conflict of interest policy, and governing document.”

“MIHF has one class of members. The designation of that class of members, the qualifications, rights, powers and duties of the members, and the conditions of membership are as set out in the Bylaws of the Corporation. Members of MIHF: 1) Brahmananda Saraswati Foundation, a Delaware state nonprofit corporation, and 2) Maharishi Foundation International, a Delaware state nonprofit corporation”

“The Treasurer is responsible for overseeing the preparation of Form 990. Once the draft is completed it is presented to a Director for review and recommendations. With the Directors approval, Form 990 is sent to each member of the Board of Directors for review.”
