Per diem rates paid for official travel to meetings in Opelika with the Board, President and VP January 3 to 4 2021 including mileage rates presented in Joint Travel Regulations for those who drove POVs, hotel costs as appropriate; Per Diem rates paid for official travel to meetings in Knoxville with the Chairman, President, VP, and IT staff member to meet with an executive and his assistant from Palm Springs, CA, to discuss a potential contract to support clientelle from their non-profit organization May 01 to 04 2021. This included a site visit to a Christian University in Kentucky by the group. This contract never materialized. In the absence of being able to generate revenue, the Board elected to close this nonprofit in Mid August, with the Chairman of the Board being the only creditor with loans to the organization affirming in writing in the Agreement to Dissolve that he will clear all remaining balances of the loans to effect closure. The only physical asset owned by this nonprofit, a Skyline Booth Display, was donated to another nonprofit.

Form 990-EZ, Part I, Line 20

The only creditor that this nonprofit had (aside from the PPP loan that was forgiven) was from the Chairman of the Board. In order to facilitate closure of this nonprofit, as part of the Articles of Dissolution, the Chairman agreed to forgive all indebtedness this nonprofit had with loans he had made in late 2020 and 2021. As such, the balance at the end of 2021 was $0 as all debt had been forgiven.

Loans were provided personally by the Chairman of the Board to cover salaries of employees and expenses while potential contracts were being negotiated. These contracts did not materialize, making it impossible to repay the loans. The Chairman graciously agreed to forgive the loans to facilitate closure of this nonprofit.

It was in 2019 that we set the foundations in place to provide future support to adult learners, building websites to support future students. We did earn 29,039 in revenue in 2019 with $29,654 in expenses for an EOY balance of -$615. In 2020 we began the year, having been notified in December 2019 that we would be exhibiting and speaking on stage at the national conference of the Council of Colleges and Military Educators (with 700+ preregistered to attend) March 10 to 14 2020. We were positioned for a remarkable year with a resoundingly positive response at the conference, yet at the end of the conference week, the nation shut down due to COVID. As such, only a small amount of revenue was generated in 2020.Thankfully, the Chairman of the Board, Mark Gatlin, made substantial donations in 2020 for this nonprofit to remain in operation. In mid 2020 we received $24,000 from the SBA as a Paycheck Protection Program loan, later forgiven. In December 2020, the nonprofits financial assets were drained, so our Board appealed to its Chairman to provide loans to keep us in operation as the COVID pandemic continued and potential contracts on the horizon. In 2021, having exhausted all efforts to enter the potential contracts that would have provided the much needed income, the Board elected to dissolve and terminate this nonprofit when the Chairman agreed to forgive the debt this nonprofit had for the loans he had provided to facilitate closure. All associated therein are most appreciative of his gracious offer to forgive the loans. The two employees of this nonprofit were terminated in August 2021 and steps take to file for dissolution and termination thereafter with the TN Department of State and Attorney General.

In order to facilitate closure of this nonprofit, as part of the Articles of Dissolution, the Chairman agreed to forgive all indebtedness this nonprofit had with loans he had made in late 2020 and 2021. As such, the balance at the end of 2021 was $0 as all debt had been forgiven.
