“Each director and non-director member is required annually sign a statement confirming reciept of the conflict of interest policy. Per policy, they are required to disclose the existance of a conflict of interest in any proposed transaction. Based on the information, the board of directors shall determine whether a conflict of interest exists. If a conflict of interest exists, the interested person shall not vote on the issue.”
