They are also required to disclose annually each year that they remain in their position. It is the responsibility of the board secretary to keep all conflict of interest questionaires, except their own, which is kept by the ceo, any disclosures that arise will be documented in meeting minutes. It is the responsibility of the remaining board members to determine if a conflict of interest is present once disclosed, and if a conflict is found, they will be required to refrain from participation. Documentation of deliberations and decisions can be found in the board minutes.”
