Part VI, line 12C

Each director, committee member, officer and employee is to regularly acknowledge his duties to the organization. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial interest and all material facts to the directors or members of committee considering the proposed transaction or arrangement. Any person who believes an action may be a conflict of interest under Aritle VII shal defer or cease engaging in such activity until such time as a final written determination is made by the property authority under this policy that proceeding is not inappropriate under the circumstances.

Part VI line 15B

The compensation, if any, of each officer shall be as determined from time to time by the Board of Directors, or by an officer or a committee to which such authority has been delegated by the Board of Directors. To the extent reasonably feasible, the person or persons determining compensation shall obtain data on the compensation of officers holding similar positions of authority within comparable organizations, shall set the compensation based on such data and an evaluation of the officer's performance and experience as related to the requirements of the position, and shall document the basis for the determination including the comparison data used, the requirements of the position, and the evaluation of the officer's performance and experience. No officer shall be prevented from receiving compensation by reason of the fact that the officer is also a director of the corporation. The Board of Directors may approve the reimbursement of actual and reasonable expenses, including travel and lodging expenses, incurred in the performance of the duties of any officer. However, no payment of compensation or payment or reimbursement of expenses shall be made in any manner that would constitute a violation of any provision of the Internal Revenue Code applicable to a private foundation. All compensation and reimbursement shall be subject to and consistent with the Conflict of Interest Policy set out in these Bylaws.
