Governance Explanations

Form 990, Page 6, Part VI, Line 4

The organization's bylaws were amended changing the name of the "steering committee" to the "board of directors,"adding articles on the executive committee and other committees, adding a section on conducting business electronically, and updating the mission, values, and goals to be consistent with the organization's currently published mission, values, and goals

Form 990, Page 6, Part VI, Line 11B

The form 990 and related state filings are prepared by an independent certified public accountant and a draft of the forms are reviewed by the organization's executive committee and then submitted to the board for their review and approval. Upon approval, the board authorizes the filing of the returns with the tax authorities.

Form 990, Page 6, Part VI, Line 12C

Under the organization's policy, each board member, officer, committee member and employee shall review and sign a conflict-of-interest acknowledgement form annually which shall be reviewed by the executive committee of the board. In addition, immediately upon learning of any actual or potential conflict of interest between the organization and a board member, officer, committee member or employee, with regard to a transaction or arrangement, the individual(s) shall promptly disclose all material facts of the actual or potential conflict of interest. After there has been disclosure of a potential conflict and after gathering any relevant information from the concerned director, officer or key person, the executive committee shall determine whether there is a conflict of interest. The director, officer or key person shall not be present for deliberation or vote on the matter and must not attempt to improperly influence the determination of whether a conflict of interest exists. If the executive committee determines that there is a conflict of interest, it shall refer the matter to the board. If the board determines that a board member, officer, committee member or employee has failed to comply with the organization's conflict of interest policy, the board shall take appropriate actions, including removing the board member, officer, committee member or employee.

Form 990, Page 6, Part VI, Line 15A

In determining and approving compensation for the executive director, the board took the following steps: 1) the board's deliberation about, and approval of, the executive director's compensation was made without the executive director present, 2) the board was provided by the treasurer with data as to comparable compensation and benefits for similiarly qualified individuals in comparable positions at similiar organizations, 3) the board's approval was documented in the minutes of the meeting during which the executive director's compensation was approved. The executive director is subject to an annual performance review and compensation is reevaluated on annual basis.

Additional Explanations

Form 990, Page 2, Part III, Line 4A

Esal has hosted 8 conference sessions and 1 poster at the ostem conference, sacnas ndistem, agu 24, nsbe annual convention, scitalk 25, the nspn symposium, and the american association of immunologists annual meeting. We trained 400+ people through these sessions and hosted three community cleanup events in san leandro and central valley, ca esal is building partnerships with groups, like the conservation x labs fire grand challenge and world economic forum g20 global smart cities alliance, to field their requests for expertise and connections with members of the esal network. In the fire grand challenge, esal is an amplifying partner, promoting engagement opportunities for stem folks. For the smart cities alliance, esal connected their staff to 4 land subsidence experts to interview for a project they were developing in indonesia. Esal co-hosted a networking event at the aaas annual meeting in boston with the national science policy network and engineers & scientists engaging in policy (esep). 200 people attended. Esal hosted and participated in 4 complimentary training opportunities for (1) the university of california-irvine graduate professional success for stem phds and postdocs (gps-stem) science policy & advocacy for stem scientists, (2) the national science policy network black in scipol virtual symposium, (3) mirzayan fellows, and (4) aaas stpf alumni local engagement webinar. In total, about 100 people were engaged in these complimentary sessions. Esal led 2 paid workshops for 10 aspet washington fellows and 11 members of the nsbe energy sig. Esal has hosted 2 public, virtual events about the scientific workforce and about finding jobs and building careers in local and state governments. 200 people registered to attend and about 90 total tuned in live. Esal hosted 2 exhibitor tables at the agu 24 conference and at the ncsl legislative summit, speaking directly with an estimated 250 people interested in esals work. Esal built out an online platform for people with stem backgrounds who want information, support, and connection. The platform is a tool to build more collective capacity for local civic engagement across the network. It launched in july 2025 and has over 200 network members across the country.
