“The organization's bylaws were amended changing the name of the "steering committee" to the "board of directors,"adding articles on the executive committee and other committees, adding a section on conducting business electronically, and updating the mission, values, and goals to be consistent with the organization's currently published mission, values, and goals”
“The form 990 and related state filings are prepared by an independent certified public accountant and a draft of the forms are reviewed by the organization's executive committee and then submitted to the board for their review and approval. Upon approval, the board authorizes the filing of the returns with the tax authorities.”
“Under the organization's policy, each board member, officer, committee member and employee shall review and sign a conflict-of-interest acknowledgement form annually which shall be reviewed by the executive committee of the board. In addition, immediately upon learning of any actual or potential conflict of interest between the organization and a board member, officer, committee member or employee, with regard to a transaction or arrangement, the individual(s) shall promptly disclose all material facts of the actual or potential conflict of interest. After there has been disclosure of a potential conflict and after gathering any relevant information from the concerned director, officer or key person, the executive committee shall determine whether there is a conflict of interest. The director, officer or key person shall not be present for deliberation or vote on the matter and must not attempt to improperly influence the determination of whether a conflict of interest exists. If the executive committee determines that there is a conflict of interest, it shall refer the matter to the board. If the board determines that a board member, officer, committee member or employee has failed to comply with the organization's conflict of interest policy, the board shall take appropriate actions, including removing the board member, officer, committee member or employee.”
“In determining and approving compensation for the executive director, the board took the following steps: 1) the board's deliberation about, and approval of, the executive director's compensation was made without the executive director present, 2) the board was provided by the treasurer with data as to comparable compensation and benefits for similiarly qualified individuals in comparable positions at similiar organizations, 3) the board's approval was documented in the minutes of the meeting during which the executive director's compensation was approved. The executive director is subject to an annual performance review and compensation is reevaluated on annual basis.”
“See description of compensation process for executive director at 15a.”
“Governing documents are made available to the public upon request”
